Electronic Signature Disclosure & Consent

1. Purpose of This Disclosure

This Electronic Signature Disclosure & Consent ("Disclosure") provides you with important information about your rights when using electronic signatures through Instant Dealer Docs. This Disclosure is provided in compliance with the federal Electronic Signatures in Global and National Commerce Act ("ESIGN Act," 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act ("UETA") as adopted by the applicable state.

Please read this Disclosure carefully before providing your consent to use electronic signatures.

2. Scope of Consent

By consenting to use electronic signatures through the Service, you agree that:

  • Where permitted by applicable law for the particular record, your electronic signature is intended to have the same legal effect as a handwritten signature
  • You intend to sign the specific documents presented to you electronically
  • You consent to conduct transactions and receive documents electronically
  • You consent to receive the documents identified in the signing session in electronic form rather than paper form

Your consent applies only to the specific documents presented in each signing session. Each new signing session will require a separate consent.

You are not required to consent to electronic records or electronic signatures. If you do not consent, do not proceed with electronic signing. Contact the dealer to request paper documents and a paper-signing option instead.

3. Right to Receive Paper Copies

You have the right to receive paper copies of any electronically signed document. To request paper copies:

  • Contact the dealer who sent you the documents. The dealer can provide you with printed copies of any documents you signed.
  • Contact us at [email protected] if you are unable to obtain copies from the dealer.

Fee for paper copies: There is no charge for requesting paper copies of documents you have electronically signed.

You may also download or print electronic copies of your signed documents directly from the signing session upon completion.

4. Right to Withdraw Consent

You have the right to withdraw your consent to use electronic signatures at any time before completing the signing process. To withdraw consent:

  • During a signing session: Simply close the signing window or navigate away. Your signature will not be applied to any documents.
  • After providing consent but before signing: Close the browser tab or click "Cancel" to exit the signing flow.
  • After signing: Once a signature has been applied, withdrawal of consent will not automatically invalidate the signed record; any challenge to the record will be governed by applicable law and the dealer's transaction documents. Contact the dealer to discuss any concerns about a completed signing.

Withdrawing consent will not result in any fee, penalty, or loss of benefits to you. It may, however, delay the completion of the transaction as the dealer may need to arrange for physical signing.

5. Updating Your Contact Information

If you need to update your email address, phone number, or other contact information used to receive electronic documents or signing notifications, contact the dealer who sent you the documents. The dealer can update your information and resend documents to your new contact information.

6. Hardware & Software Requirements

To access, view, and retain electronically signed documents, you need:

  • Device: A computer, smartphone, or tablet with internet access
  • Operating System: Windows 10 or later, macOS 12 or later, iOS 15 or later, Android 10 or later, or a comparable operating system
  • Browser: A current version of Chrome, Safari, Firefox, or Edge with JavaScript and cookies enabled
  • Screen: Minimum screen resolution of 320px width (mobile-responsive)
  • PDF Viewer: A PDF reader to view and print completed documents (built into most modern browsers)
  • Email or SMS: A valid email address or mobile phone number capable of receiving text messages to receive signing links and completed document notifications
  • Storage: Sufficient storage space to save or print documents for your records

If these requirements change in a way that creates a material risk that you would not be able to access or retain electronic records, we will notify you and re-obtain your consent.

7. How Electronic Signing Works

When a dealer sends documents for electronic signature through Instant Dealer Docs:

  1. You receive a unique, personal signing link via text message (SMS) or email. Do not forward this link to anyone else
  2. You click the link, which opens a secure signing session in your browser
  3. You are presented with this Disclosure and asked to provide your consent by checking a consent checkbox
  4. You review each document and apply your electronic signature where indicated
  5. Upon completion, you may download or print copies of the signed documents
  6. A completed copy may be emailed to you automatically (if your email is on file)

8. Audit Trail & Record Retention

For each electronic signing event, we create and retain a tamper-evident audit trail that records:

  • The identity of the signer (name, email, and/or phone number)
  • The IP address from which the signature was applied
  • The date and time (UTC) of each signature event
  • The specific documents signed and the consent record
  • A unique signing session identifier

We retain electronic signature records and audit trails for at least seven years from the date of signing as an evidentiary and compliance practice, and longer where required by tax, dealer-record, litigation-hold, or other applicable legal obligations.

Electronic signatures are facilitated through our e-signature technology, which maintains security certifications and compliance standards. Instant Dealer Docs provides the signing technology. The dealer controls the documents, recipients, and transaction and is responsible for determining whether a document is eligible for electronic signing.

If you received a signing link in error or believe another person accessed your link, stop the signing process and contact the dealer immediately.

9. Legal Effect of Electronic Signatures

Under the ESIGN Act and applicable state UETA, electronic signatures are generally given the same legal status as handwritten signatures. However:

  • Certain documents may not be valid with electronic signatures under applicable state or federal law, including some title transfers, court orders, notices of cancellation of utility services, and documents required to accompany hazardous materials
  • Certain records may require ink signatures, notarization, or agency-specific submission methods under applicable federal, state, or agency rules
  • The dealer is responsible for determining which documents may be signed electronically in compliance with applicable law

If you have questions about whether a specific document should be signed electronically, consult with the dealer or seek independent legal advice.

10. Providing Your Consent

When you check the consent box and proceed with signing documents through the Service, you confirm that:

  • You have read and understand this Electronic Signature Disclosure
  • You can access the hardware and software described in Section 6 and have successfully opened and viewed the documents in the electronic format used for this session
  • You consent to use electronic signatures for the documents in this signing session
  • You consent to receive the documents in electronic form
  • You understand your right to receive paper copies at no charge
  • You understand your right to withdraw consent before completing the signing
